11.4 These Terms of Use, as well as Your relationship with Vallidge Consulting Pte Ltd hereunder shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law’s provisions. You and Vallidge Consulting Pte Ltd agree that the courts of the Republic of Singapore shall have exclusive jurisdiction over any dispute arising out of these Terms of Use. Notwithstanding this, You agree that Vallidge Consulting Pte Ltd shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

11.5 No person or legal entity that is not a party to these Terms of Use , whether or not such person or entity is identified by name, has the right to enforce the terms of this Terms of Use under applicable law.

12. Affiliate Marketing

12.1 Vallidge Consulting Pte Ltd may offer an affiliate marketing program to Users who wish to promote the CoinMarketScore Services. Participation in the affiliate marketing program is subject to these Terms of Use and any Additional Terms and Additional Agreements applicable to the affiliate marketing program.

12.2 As an affiliate, You will be provided with unique affiliate links and promotional materials to share with potential users. You will earn commissions based on the qualifying purchases made through your affiliate links, in accordance with the terms set forth by Vallidge Consulting Pte Ltd.

12.3 You agree to comply with all applicable laws, regulations, and guidelines relating to advertising and marketing practices in your jurisdiction.

12.4 You shall not engage in any misleading or deceptive advertising practices. All promotional materials and communications must clearly and accurately represent the CoinMarketScore Services and must include any disclosures required by law.

12.5 Vallidge Consulting Pte Ltd reserves the right to terminate your participation in the affiliate marketing program at any time if you violate these Terms of Use, any Additional Terms or Additional Agreements, or any applicable laws or regulations.

12.6 Commissions earned through the affiliate marketing program will be paid out in accordance with the payment schedule and terms established by Vallidge Consulting Pte Ltd. Vallidge Consulting Pte Ltd reserves the right to withhold commissions if it is determined that the transactions resulting in the commissions were fraudulent or otherwise in violation of these Terms of Use or any applicable laws or regulations.

12.7 As an affiliate, you agree to indemnify, defend, and hold Vallidge Consulting Pte Ltd and its directors, managers, employees, and agents harmless from and against any and all third-party claims, demands, causes of action, suits or proceedings, as well as any and all losses, liabilities, damage, costs or expenses (including any reasonable attorneys’ fees), arising from or relating to your participation in the affiliate marketing program.

12.8 Vallidge Consulting Pte Ltd reserves the right to modify or terminate the affiliate marketing program at any time, with or without notice. Any changes to the program will be communicated to affiliates through the appropriate channels.
